Terms of Service

Effective August 17, 2026

1. Eligibility and Business Use

You must be at least 18 and legally capable of entering a binding agreement. The Services are intended primarily for legitimate business use.

2. The Services

UNCLOSED provides technology-assisted analysis to help businesses identify, prioritize, and act on potential opportunities in existing lead, prospect, customer, estimate, proposal, and pipeline data. Outputs may be incomplete or inaccurate and require human business judgment. UNCLOSED does not guarantee conversion or recovered revenue.

3. Founding Customer Subscription

The Founding Customer offer is $99 USD per month, billed automatically on a recurring monthly basis through the payment processor shown at checkout. Unless otherwise stated at checkout, the rate remains $99 per month while the same subscription remains continuously active. Cancellation stops future recurring charges but does not ordinarily create a refund for a period already purchased, except where required by law.

4. Customer Data and Authority

You retain ownership of data you submit and grant UNCLOSED a limited right to process it as reasonably necessary to provide, secure, support, improve, and comply with law in connection with the Services. You represent that you have the necessary rights and lawful bases to provide it.

5. Prohibited and Restricted Data

Unless UNCLOSED expressly agrees in writing to a compliant workflow, do not upload Social Security numbers, government identification numbers, passwords, complete payment-card or bank-account credentials, protected health information subject to HIPAA, biometric templates, data about children under 13, or other data requiring specialized regulatory controls.

6. Acceptable Use

You may not use the Services to violate law; deceive, harass, discriminate against, exploit, or unlawfully profile people; send unlawful spam or telemarketing; infringe rights; introduce malware; bypass security; or submit data you do not have the right to process.

7. AI and Automated Analysis

AI, machine learning, rules-based scoring, or other automated methods may be used as decision-support tools. Do not use UNCLOSED as the sole basis for decisions producing legal or similarly significant effects on an individual.

8. Confidentiality and Security

Each party will use reasonable care to protect non-public business information. UNCLOSED will use reasonable safeguards appropriate to the nature of information processed. No system is perfectly secure.

9. Intellectual Property

UNCLOSED and its licensors retain rights in the Services, software, branding, methodologies, interfaces, documentation, models, and materials, excluding Customer Data.

10. Third-Party Services

The Services may rely on payment processors, hosting providers, communications providers, analytics providers, AI or infrastructure vendors, and other service providers, which may have separate terms and privacy practices.

11. Suspension and Termination

UNCLOSED may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, abuse, or unreasonable legal or operational risk.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” UNCLOSED DOES NOT WARRANT UNINTERRUPTED SERVICE, ERROR-FREE OUTPUTS, PARTICULAR RECOVERY RATES, OR ANY SPECIFIC BUSINESS OR FINANCIAL RESULT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNCLOSED WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA. AGGREGATE LIABILITY WILL NOT EXCEED AMOUNTS PAID TO UNCLOSED DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHERE PERMITTED BY LAW.

14. Governing Law and Disputes

These Terms are governed by Oregon law except where mandatory law provides otherwise. The parties agree to attempt good-faith informal resolution for at least 30 days before filing a claim. Unless mandatory law requires another forum, Oregon state and federal courts will have jurisdiction.

15. Changes and Contact

UNCLOSED may update these Terms as the Services evolve. Material changes will be communicated by reasonable means.
